By creating an account or using the Service, you (“Merchant,” “you,” or “your”) agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Service Description

BoltOn Search is a software-as-a-service (SaaS) platform that provides e-commerce search functionality, including:

AI-powered product search with semantic understanding and keyword matching.
Autocomplete and search suggestion functionality.
Product catalog syncing from supported e-commerce platforms (ShopSite, Shopify, BigCommerce).
Search merchandising tools including product pinning, boosting, burying, promotional banners, search redirects, and product badges.
Faceted search and filtering capabilities.
Search analytics and reporting.
An embeddable search widget for your online store.
Multi-store management from a single account.

2. Account Registration

You must provide accurate and complete information when creating an account.
You are responsible for maintaining the confidentiality of your account credentials.
You are responsible for all activity that occurs under your account.
You must be at least 18 years of age or the age of legal majority in your jurisdiction to use the Service.
One person or entity may maintain multiple store connections under a single account.
You must notify us immediately of any unauthorized use of your account.

3. Merchant Responsibilities

As a merchant using the Service, you agree to:

Provide valid and authorized API credentials for your e-commerce platform.
Ensure that the product data imported into BoltOn Search does not violate any laws, regulations, or third-party rights.
Maintain accurate product information in your catalog, including pricing, descriptions, and availability.
Comply with all applicable laws regarding your use of the Service, including consumer protection, privacy, and e-commerce regulations.
Inform your customers about the use of search analytics on your store, as required by applicable privacy laws.
Not use the Service for any unlawful, fraudulent, or abusive purpose.

4. Acceptable Use

You agree not to:

Reverse engineer, decompile, or disassemble the Service or the search widget.
Attempt to gain unauthorized access to any part of the Service, other accounts, or systems connected to the Service.
Use the Service to transmit malware, viruses, or other harmful code.
Interfere with or disrupt the integrity or performance of the Service.
Use automated means (bots, scrapers) to access the Service in a manner that exceeds reasonable usage or degrades performance for other users.
Resell, sublicense, or redistribute the Service without our prior written consent.
Remove, alter, or obscure any proprietary notices or branding from the Service or widget.
Use the Service to index or search content that is illegal, infringing, defamatory, or otherwise objectionable.

5. The Search Widget

The embeddable search widget is provided for use exclusively on your own e-commerce store(s) connected to your BoltOn Search account.
The widget operates within a Shadow DOM to ensure CSS isolation and prevent conflicts with your store's existing styles.
You may customize the widget's appearance through the dashboard settings. Direct modification of the widget's source code is not permitted.
The widget communicates with BoltOn Search servers to deliver search results. You are responsible for ensuring your store's terms of service and privacy policy inform customers of this data processing.
We reserve the right to update the widget to improve functionality, fix bugs, or address security issues. Such updates will be applied automatically.

6. Data Ownership and Licensing

6.1 Your Data

You retain all ownership rights to your product catalog data, store configurations, and any content you provide to the Service. By using the Service, you grant us a limited, non-exclusive license to use, process, and display your data solely for the purpose of providing the Service to you.

6.2 Our Service

BoltOn Search, including its software, algorithms, widget code, documentation, and branding, is owned by us and protected by intellectual property laws. These Terms do not grant you any ownership rights to the Service. You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service for the duration of your subscription.

6.3 Aggregate Data

We may use anonymized, aggregated data derived from your use of the Service (e.g., general search trends, performance benchmarks) to improve the Service. This data will not identify you or your customers.

7. Payment and Billing

The Service is offered on a subscription basis at the pricing published on our pricing page or as agreed in a separate order form.
Subscription fees are billed monthly or annually in advance, depending on your chosen plan.
All fees are non-refundable unless otherwise stated or required by applicable law.
We reserve the right to change pricing with 30 days' advance notice. Price changes will take effect at the start of your next billing cycle.
If payment fails, we will attempt to notify you and may suspend access to the Service until payment is resolved.
You are responsible for all applicable taxes related to your use of the Service.

8. Service Availability

We strive to maintain 99.9% uptime for the Service, but do not guarantee uninterrupted availability.

Your authorization for BoltOn Search to access your store data via the platform's API.

10. Termination

10.1 By You

You may cancel your account at any time through the dashboard or by contacting us. Upon cancellation, your access to the Service will continue until the end of your current billing period. No refunds will be issued for partial billing periods.

10.2 By Us

We may suspend or terminate your access to the Service immediately if:

You breach these Terms.
Your use of the Service poses a security risk or may harm other users.
Your account has been inactive for an extended period.
We are required to do so by law.

10.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. We will retain your data for 30 days following termination, during which you may request an export. After 30 days, all data associated with your account will be permanently deleted.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any defects will be corrected. We do not warrant any specific results from the use of the Service, including search relevance, conversion rates, or revenue outcomes.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BOLTON SEARCH SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY.

OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify, defend, and hold harmless BoltOn Search and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:

Your violation of these Terms.
Your violation of any applicable law or regulation.
Any content or data you provide to the Service.
Any dispute between you and your customers related to the search functionality on your store.

14. Modifications to the Service and Terms

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice.
We may update these Terms from time to time. Material changes will be communicated via email or a prominent notice on the dashboard at least 30 days before they take effect.
Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
If you do not agree to the revised Terms, you must stop using the Service and cancel your account.

15. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles. Any disputes arising under or in connection with these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, unless you and we agree otherwise.

Nothing in these Terms prevents either party from seeking injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.
